Terms of Service

Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and HemanthVA Ventures LLC, doing business as Authex ("Authex," "we," "us," or "our") governing your access to and use of the Authex platform, website at authex.online, and all related services (collectively, the "Service").
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
If you do not agree to these Terms, you must not access or use the Service.
Definitions
- "Service" means the Authex email security platform, including the website, domain scanner, monitoring dashboard, enforcement wizard, API, and all related features and tools.
- "Account" means the user account created to access the Service, including all associated configuration, data, and settings.
- "Customer" means the individual or entity that creates an Account and agrees to these Terms.
- "Domain" means an Internet domain name (e.g., example.com) that is registered with, scanned by, or monitored through the Service.
- "User" means any individual who accesses the Service under a Customer's Account, including the Customer and any team members they authorize.
- "Customer Data" means all data provided or generated by Customer through use of the Service, including domain configurations, scan results, and account information.
Account Registration
To access certain features of the Service, you must create an Account. When registering, you agree to:
- Provide accurate, current, and complete registration information
- Maintain and promptly update your Account information
- Maintain the security and confidentiality of your login credentials
- Accept responsibility for all activities that occur under your Account
- Notify us immediately of any unauthorized use of your Account
You must be at least 16 years of age to create an Account. Authex reserves the right to refuse registration or cancel Accounts at its discretion, including if we reasonably believe that information provided is inaccurate or incomplete.
Use of Services
Authorized Uses
Subject to these Terms, Authex grants you a non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes during the term of your subscription.
Restrictions
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Reverse engineer, decompile, or disassemble any part of the Service
- Copy, modify, or create derivative works of the Service or its content
- Access the Service in order to build a competing product or service
- Use the Service to scan domains you do not own or have authorization to assess, in a manner intended to harass, attack, or cause harm
- Attempt to gain unauthorized access to the Service, other accounts, or related systems
- Use automated tools (bots, scrapers) to access the Service beyond what is permitted by our API terms
- Interfere with or disrupt the integrity or performance of the Service
- Resell, sublicense, or otherwise make the Service available to third parties without Authex's prior written consent
Acceptable Use
You are responsible for ensuring that your use of the Service complies with all applicable laws, regulations, and industry standards. You must not use the Service in any way that could damage, disable, overburden, or impair the Service or interfere with any other party's use of the Service.
Free and Paid Plans
Free Tier (Starter)
Authex offers a free Starter plan that includes limited features as described on our pricing page. The free tier is provided "as is" and may be modified, limited, or discontinued at any time at our discretion. We do not guarantee any specific uptime or support level for free accounts.
Paid Subscriptions
Paid plans (Professional and Enterprise) provide additional features, higher limits, and enhanced support as described on our pricing page. Paid subscriptions are billed on a monthly or annual basis, as selected at the time of purchase. All paid subscriptions automatically renew unless cancelled before the end of the current billing period.
Free Trials
We may offer free trial periods for paid plans. At the end of a trial, your account will automatically convert to a paid subscription unless you cancel before the trial expires. We will notify you before the trial ends and before any charges are applied.
Payment Terms
Billing
Paid plans are billed in advance on a recurring basis (monthly or annually). Fees are non-refundable except as expressly stated in these Terms or required by applicable law. Authex reserves the right to change pricing with at least 30 days' advance notice before the start of a new billing period.
Refunds
Annual subscriptions may be eligible for a pro-rata refund within the first 14 days of the initial subscription term if you are not satisfied with the Service. Monthly subscriptions are non-refundable. Refund requests should be directed to billing@authex.online.
Taxes
All fees are exclusive of taxes. You are responsible for paying all applicable taxes, levies, and duties (excluding taxes based on Authex's net income). If Authex is required to collect taxes, they will be added to your invoice.
DNS and Domain Management
The Service provides tools, recommendations, and guidance for configuring email authentication records in your DNS. You acknowledge and agree to the following:
- Customer responsibility: You are solely responsible for any changes made to your DNS records, whether made directly by you or through Authex's guided tools. You should review and understand all DNS changes before implementing them.
- Authex as advisor: Authex provides recommendations and guidance based on analysis of your domain's DNS records and email authentication data. These recommendations are advisory in nature. Authex does not guarantee that implementing recommendations will prevent all email security threats.
- Domain ownership: You represent and warrant that you own or have authorized control over any domains you add to the Service for monitoring or management.
- Impact of DNS changes: Incorrect DNS configurations can affect email delivery. While Authex provides impact previews and guided enforcement, you accept the risk associated with DNS changes to your domain.
Intellectual Property
Authex Property
The Service, including all software, algorithms, user interfaces, designs, text, graphics, logos, and other content (excluding Customer Data), is and remains the exclusive property of Authex and its licensors. The Service is protected by copyright, trademark, patent, trade secret, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it as described herein.
Customer Data
You retain all ownership rights to your Customer Data. By using the Service, you grant Authex a limited, non-exclusive license to use, process, and store your Customer Data solely for the purpose of providing and improving the Service. We may also use anonymized and aggregated data derived from Customer Data for analytics, benchmarking, and research purposes.
Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant Authex an irrevocable, perpetual, royalty-free license to use and incorporate that feedback into the Service without obligation or compensation to you.
Data Protection
Authex is committed to protecting the privacy and security of your data. Our data handling practices are governed by our Privacy Policy, which is incorporated into these Terms by reference.
For customers who require a formal data processing agreement, our Data Processing Addendum (DPA) is available and applies automatically to all customers who process personal data of individuals in the European Economic Area, the United Kingdom, or Switzerland.
Service Availability
Authex strives to maintain high availability for the Service. For paid plans, we target 99.9% uptime on a monthly basis, excluding scheduled maintenance windows.
- Scheduled maintenance: We will provide at least 24 hours' advance notice for planned maintenance that may affect service availability. Maintenance windows are typically scheduled during off-peak hours (weekends or late evening UTC).
- Emergency maintenance: In the event of critical security patches or urgent infrastructure issues, we may perform emergency maintenance without advance notice.
- Service credits: Enterprise customers with a custom SLA may be eligible for service credits in the event of downtime exceeding agreed thresholds. Service credit terms are defined in the applicable Enterprise agreement.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- AUTHEX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.
- AUTHEX'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO AUTHEX IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
- AUTHEX SHALL NOT BE LIABLE FOR ANY DAMAGE OR LOSS RESULTING FROM DNS CONFIGURATION CHANGES, EMAIL DELIVERY FAILURES, OR SECURITY INCIDENTS RELATED TO YOUR DOMAIN, EXCEPT TO THE EXTENT CAUSED BY AUTHEX'S GROSS NEGLIGENCE OR WILLFUL MISCONDUCT.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Indemnification
You agree to indemnify, defend, and hold harmless Authex, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable law or regulation
- Your infringement of any third-party rights
- DNS changes made to domains under your control through or based on the Service
Termination
Termination by Customer
You may cancel your Account at any time through your account settings or by contacting us at support@authex.online. Cancellation will take effect at the end of the current billing period. You will retain access to the Service until the end of the paid term.
Termination by Authex
Authex may suspend or terminate your access to the Service at any time if:
- You breach any provision of these Terms
- Your payment is overdue by more than 15 days
- Your use of the Service poses a security risk to Authex or other users
- Required by law or regulation
We will provide reasonable notice before termination when possible, except in cases of material breach or where immediate action is necessary to protect the Service.
Effect of Termination
Upon termination, your right to access the Service will cease immediately. We will retain your Customer Data for 30 days after termination to allow you to export it. After 30 days, we may permanently delete your data. Sections relating to intellectual property, limitation of liability, indemnification, and governing law shall survive termination.
Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any legal action or proceeding arising out of or relating to these Terms shall be brought exclusively in the federal or state courts located in Wilmington, Delaware, and you consent to the personal jurisdiction of such courts.
Changes to Terms
Authex reserves the right to modify these Terms at any time. When we make material changes, we will:
- Post the revised Terms on this page with an updated effective date
- Notify account holders via email at least 30 days before changes take effect
- Display a notice within the Service
Your continued use of the Service after the revised Terms take effect constitutes your acceptance of those changes. If you do not agree to the revised Terms, you must stop using the Service and terminate your Account.
